You need to have both for it to change over and get it free. Your year of gold will count as credit off while it is still active. However, the euro sale will apply to the first month after that.

If you apply Live the subscription code to you account, then sign up for Ultimate, the Live subscription time on your account will convert over to Ultimate. You can have up to 36 months of a Live or Game Pass Subscription pre-paid for.

I think this opportunity is temporary. Microsoft can and probably will stop the possibility of exchanging game pass and live gold subscriptions for game pass ultimate, since the price and subscriptions are not the same. Few xbox users will buy a game pass ultimate subscription with the possibility of free exchange for example: live gold on ultimate!
